These Terms of Service (“Terms”, “Terms of Service”) govern all use of the Hivelaya.com platform including any use or viewing of any Content, services and products available at or through the Platform by Platform visitors and participants, both unregistered and registered users.

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages. Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound of them.

Hivelaya.com is owned and operated by Hivelaya Digital Pvt. Ltd., Lalitpur, Nepal. The Services are offered at User’s acceptance of all of the Terms & Conditions, operating rules, policies and procedures that are communicated from time to time on or through the platform.

A User should read the T&C's carefully before browsing or accessing the Platform or any Content or using any Services. By browsing, accessing or using any part of the Platform, including the registration by a Registered User to open an account (a “User Account”), a User agrees to be bound by these Terms & Conditions. If a User disagrees with or cannot follow these Terms & Conditions (in part or in whole), then such User should not browse or access the Platform, use any Services or register to create a User Account.

1. Platform General Description

Welcome to Hivelaya, a digital skills marketplace that connects aspiring learners and passionate knowledge gurus to create a knowledge bank dedicated to helping people transform their lives by upskilling, reskilling and becoming lifelong learners. It is targeted to learners, professionals and organizations with the aim to provide Content and Services to enable Users to:

1.1 access an online platform where Users can stay up to date with the latest courses and content people to gain knowledge and skills.

1.2 access Content available in the platform.

1.3 post free and paid third-party Content (User Generated Content) to be shared in the platform.

1.4 connect with online learners, market professionals and businesses.

1.5 receive promotional news and information

1.6 have access to additional paid/free services provided by the platform which may be accessed under separate orders or agreements with Hivelaya.

2. Categories of Users

General Note: The Platform’s content is targeted to learners be it naïve or professionals. The Platform require a user to register and create a user account in order to preliminarily verify the user’s status. The purpose of registration is to enhance, the reliability of the platform as a professional skill and knowledge sharing community and to promote the goals of the platform.

Users can be divided into the following categories, depending on the content they can access and/or contribute, as well as their purchase of Additional Services from the Platform:

2.1 All users must be of age 18 years or above. Users below the age of 18 are encouraged to invite a parent or legal guardian to open an account and help to access the content that is appropriate under supervision.

2.2 Users: All Users (Knowledge Guru, Learner and business) visiting the Platform, can browse the Platform and have access to Content. Users may be registered and unregistered.

2.3 Registered Users: Users who register and create a User Account with the Platform in order to have full access to content and services as well as to be able to contribute Content to the Platform. Registered Users (Knowledge gurus/Trainers):

2.2.1 Obtain full access to Content;

2.2.2 Contribute/upload Content to the platform for free,

2.2.3 Download eBooks and Webinars hosted on the Platform;

2.2.4 Submit Reviews.

2.4 Clients or businesses are registered users who purchase any of the additional services provided by the platform such as LMS.

3. User Registration with the Platform

3.1. To register with the Platform and create a User Account, a user may either:,

3.1.1 register on-site, by filling in certain personal details (name and e-mail address); a user is then required to confirm registration by clicking on an activation link which is sent to the user at the email provided, for verification purposes; or,

3.1.2 register via a social media profile; users who sign-up through social media are automatically activated, as it is considered that their email verification (double opt-in) has been already executed at the time of their registration in social media.,

3.2. Upon registering to the Platform, a registered user creates:,

3.2.1 a User Account, including the above mandatory personal data and,

3.2.2 a User Profile where each registered user can provide any personal data it wishes to voluntarily provide.,

3.3. The Platform reserves the right to refuse to open a user account and/or to refuse any content submitted by a registered User, and/or to delete or suspend the user account and the related User Profile if it comes to the attention of the Platform and/or if it is notified by a third party that the Registered User and/or the User Account/Profile has fake or false or non-accurate data, at any time.,

3.4. Account name and Password:,

3.4.1 Registration on-site: If a User signs up on site in the Platform, his/her registered email shall automatically become the login credential. The User can create an account name from the dashboard.,

3.4.2 Registration via social media: In case a User registers via his/her social media account, the name such User uses on social media will also appear as his/her Account name. In this case, where a User logs in using social media, the User will not select a new password, but will sign-in through social media. In case a User forgets his/her password, he/she must follow the password retrieval procedures of social media further to its applicable Terms and Conditions and processes. Otherwise access and use of his/her Account and Profile in the Platform will not be possible.,

3.5. Each Registered User is solely responsible for the safety of his/her User Account and User Profile as well as for any loss or damage occurred to the User and/or to a third party and/or to the Platform from the use of that User Account up to the moment the User explicitly notifies us, at info@hivelaya.com, of any unauthorized access and/or use of his/her Account or any other breaches of security. This notification applies for any subsequent use. Hivelaya will not be liable for any acts or omissions by Users, including any damages of any kind incurred as a result of such acts or omissions.,

4. Deletion of a User Account:

4.1 If a Registered User wishes to delete the Registered User’s applicable User Account, such Registered User may send a request to delete the User Account form their profile. As soon as the User Account is deleted the associated User Profile will also be automatically deleted. Following such a request, Hivelaya will permanently delete the User Account, as well as any data contained in the User Account and in the User Profile and all Content the User has submitted to the Platform as a Registered User, within fifteen (15) days from the submission of the User’s deletion request.

4.2 If a User has purchased Additional Services, the deletion of the User Account might not allow the execution or the continuance of some Additional Services, if in order to receive those Services it is necessary to have an active User Account. In this context, user will have to make sure that they do not want the service in the future.

4.3 Hivelaya reserves without limitation the right to suspend and/or delete any User Account and User Profile according to the provisions of the Terms and Conditions, including but not limited to the provisions below as well as the applicable overall T&Cs.

5. Content

(a) Registered Users can submit non-promotional content to be uploaded in the Platform for free as User Generated Content.

(b) Unless otherwise provided in the Platform or herein, submitted articles must be original and have not been published previously through the Registered User’s or any other third party’s digital means (e.g. platform, blog, website, social media account, or similar mediums).

(c) Courses are either created by the Platform or sponsored by Clients (as sponsored User Generated Content). Clients are 'Knowledge gurus'/'Mentors'.

(d) Registered Users can also choose to enhance visibility of their listing by paying an additional fee.

(e) Registered Users can also upload the following Content after paying the relevant subscription/fee:

  • Webinars
  • Related Events
  • Related press releases

(f) Registered Users can upload courses subject to payment of a subscription fee or free courses. Those who are interested in uploading a course can sign up to access the service.

5.1 User responsibility for any type of Content (free or sponsored) submitted in the Platform:

5.1.1 Each Registered User is responsible for any User Generated Content created and/or uploaded in the Platform by such User. Registered Users must take all prudence not to upload any User Generated Content that contains illegal material (of any type) nor to create Content that could result in any illegal act or omission (of any type) nor violate the Terms and Conditions nor any other guidelines posted in the Platform and declaration undertaken by the Registered User with regard to the Content.

5.1.2 All Content submitted for posting in the Platform does not infringe third party rights; the User is in compliance with and shall comply with all laws, rules and regulations applicable to the use of the Platform and the uploaded Content, including but not limited to applicable copyright and data protection laws.

5.1.3 Without limitation, the Registered User represents, warrants, agrees and guarantees that it shall not upload any Content (or link to any Content) nor proceed to any action in or through the Platform that is illegal.

5.2 Notwithstanding the above, each User submitting Content further and more specifically guarantees that, where the submitted Content includes the images and/or any other personal data of third parties (overall “third party personal data”), such third parties have been informed in detail about the use of the Content and third party personal data on the Platform pursuant to the Platform’s Terms and Conditions and Privacy Policy and have granted their free and informed consent to include the third party personal data in the Content created or uploaded in the Platform. If so requested, Users shall promptly provide the Platform with any proof necessary to verify the above consent. The Platform reserves the right to take down or to request from the Users to take down any third party personal data indicated by a third party if that third party so notifies the Platform (third party opt-out). Notwithstanding any other rights of the Platform, the same above applies in case that any third party notifies the Platform regarding the violation of the above from the Users.

5.3 When under the guidelines set by the Platform a Registered User must upload a new original Content (created especially for the Platform), the Registered User solemnly declares and represents and warrants that such Content is original and has not been previously posted or circulated.

5.4 Warranties and Liability of the User: By submitting any content to be uploaded in the Users warrant to the Platform compliance with the terms of the present and with any other declarations and acknowledgements undertaken in the Platform from time to time. Each User acknowledges that he/she bears the responsibility to compensate, defend, hold harmless and exempt the Platform and its directors, officers, employees, consultants, representatives and affiliates from any, and all, claims by third parties’ liability, damages and/or costs (including, but not limited to legal consultants’ fees) which occur as a result of or in connection with the Content they upload or from the breach of the present terms or in case any other User or third party turns against the Platform in relation to any Content they have uploaded to the Platform or in connection to the use of the Platform or the services.

6. Payment and fees

Users agree to pay the fees for content that they purchase. Hivelaya collects all fees and pays out all knowledge gurus through third party providers. Each provider is its own company, and Hivelaya isn’t responsible for its performance.

When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails, we reserve the right to disable access to any content for which we have not received adequate payment.

Knowledge Guru Payments

Knowledge gurus may earn revenue by publishing classes or offering additional services through Hivelaya. Find out more in Knowledge Guru terms and conditions.

Knowledge gurus and students agree that Hivelaya’s sole responsibility is to process payments and pay out knowledge gurus in the proportions set forth. Hivelaya is not party to any transaction between any student and/or teacher and cannot be held responsible for any issues arising from any such transaction.

Hivelaya reserves the right to withhold or cancel payments to Knowledge gurus if it deems, in its sole judgement and absolute discretion, that the knowledge guru engaged in behavior that violated any part of this Agreement.

Refunds and cancellations

Refunds will not normally be provided, but may be requested and will be considered at the sole discretion of Hivelaya. If we decide to issue refund, credits will be added to your account, that can be applied towards your next content purchase on our platform. Refund credits may expire if not used within the specified period. There are no refund or credits for partially used periods. Access to a course cannot be returned or transferred.

7.Limitation of Liability

In no event shall Hivelaya, its officers, directors, employees, or agents, be liable to Users for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever. This limitation on liability includes, but is not limited to, (i) personal injury or property damage, of any nature whatsoever, resulting from the Users’ use of the Platform, (ii) any loss or damage due to unauthorized access to or use of our servers and/or any and all business information stored therein, (iii) any loss or damage due to interruption or cessation of transmission to or from our Platform or interoperability problems, (iv) any loss or damage due to bugs, viruses, trojan horses, or the like, which may be transmitted to or through our website by any third party, (v) any errors or omissions in any Content, (vi) any defamatory, offensive, or illegal conduct of any third party, (vii) any statement or conduct of any third party on the Platform (viii) any loss or damage resulting from the use, or inability to use, any portion of our website or the Platform or for any loss or damage of any kind in the User data, or (ix) any loss of revenue, profits, goodwill or any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses. In any case whatsoever to the extent permitted by applicable law, liability of the Platform is limited to the amount paid by such user. The limitations on liability apply whether liability is based on warranty, contract, tort, or any other legal theory, and whether or not Hivelaya is advised of the possibility of such damages.

8. Access and downloading of courses

Registered Users can access and download courses created by Clients that are posted in the Platform. Courses may be hosted in the Platform for a specific period of time and are available for as long as the Client has an active account with Hivelaya.

9. Press releases:

9.1 The Platform operates a Press Releases section. All Users can access Press Releases posted by the platform or its clients in the Press Releases section.

9.2 The Press Releases may include links to third party websites, for the Content of which Hivelaya has no liability. Where links are provided to third party websites, Users are redirected directly to that third party’s website, outside of the Platform’s environment; in that case, no third party content is hosted in the Platform.

10. Newsletters:

10.1 Users may subscribe to the Platform’s newsletter to receive news about the platform updates. Newsletters may include news in general about the Platform and its Clients, courses or news useful to our clients and members. Newsletters maybe sent on a daily, weekly or monthly basis.

10.2 Each User can unsubscribe from the newsletter at any time, by clicking the “unsubscribe” button at the end of each newsletter.

11. Termination

A registered user may at any time decide to delete user’s account by simply visiting own profile and from edit profile, delete the user account. Registered users who wish to delete their account will no longer be able to make use of the services provided in the platform for registered users.

We may terminate or suspend your account and bar access to platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

12. Confidentiality

The following terms and conditions govern all use of the Hivelaya platform including any use or viewing of any Content, services and products available at or through the platform by both unregistered and registered. The platform is owned and operated by Hivelaya Digital Pvt. Ltd., Lalitpur, Nepal. The services are offered to the users at user’s acceptance of all of these Terms & Conditions and all other applicable terms and conditions, operating rules, policies and procedures that are communicated from time to time on or through the platform by Hivelaya.
